The Problem

Institutional investors, governance and stewardship teams, portfolio managers, and compliance teams must track a constant stream of proxy filings, proposals, and voting deadlines across their coverage universe. Today this work involves monitoring filings like DEF14A, 8-K, no-action, and exempt solicitation updates, applying internal voting guidelines by hand, and keeping audit trails of comments, approvals, overrides, and rationale. Compliance teams separately need to produce N-PX filing exports and maintain complete vote record trails while staying audit-ready. Without a unified system, this review and documentation work is scattered and manual, making it hard to apply firm-wide policy consistently or demonstrate a defensible decision trail.

The Solution

Pennant is a stewardship platform that pulls meetings, filings, proposals, proponents, and vote results into one review-ready workspace. It translates a firm's voting guidelines into policy-aligned recommendations with clear rationale, subject to human review, and tracks proposals, no-action activity, litigation, and proponents as an ongoing ontology. Teams can capture comments, approvals, exceptions, and overrides before decisions move downstream, producing an audit trail from intake to final decision. The platform also supports compliance needs such as automating N-PX filing exports and monitoring deadlines, and is built around named products called ProxyGuessr, Proposal Pilot, and Governance Arena.
